Terms of service

1. About these terms

These terms are an agreement between Tekstak Ltd, a company registered in England and Wales (company number17154786, registered office 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom), trading as Briefra ("we", "us"), and the business that installs one of our apps on its Shopify store ("you").

By installing a Briefra app you accept these terms on behalf of your business, together with our privacy policy. If you don't accept them, don't install the app, or uninstall it. Our apps are for businesses, not consumers. Your use of Shopify itself is governed by Shopify's own terms; Briefra apps are independent of Shopify and not made or endorsed by it.

2. The service

Our apps add features to your Shopify store. Briefra Order Editing lets your customers change or cancel their own orders within the time and rules you set, settles the price difference through Shopify (a refund, or an invoice with a hold on fulfilment until it's paid), keeps a log of edits and sends you alerts. The current features of each plan are described on the app's page and its Shopify App Store listing.

The app makes changes through Shopify's own systems. What can be edited, refunded or invoiced is limited by what Shopify allows at the time; see the setup guide.

3. Plans, billing and trials

  • Plans, prices and order limits are shown on the app's page and its listing. Charges are in US dollars and billed by Shopify on your Shopify invoice, under Shopify's billing terms. We don't take payment from you directly.
  • Paid plans start with a 14-day free trial. If you uninstall the app or move to the Free plan before the trial ends, you aren't charged for that plan.
  • Each plan includes a number of orders a month (see the app's page). Once your store has received more orders than your plan includes in a billing month, new customer edits pause until the next billing month or until you upgrade. Edits already under way finish.
  • Fees are not refundable except where the law requires, or where we choose to give a refund through Shopify (for example, after a fault on our side).
  • Price lock: while you stay on a paid plan, we won't raise the price of that plan for you. The price you start on is the price you keep.

4. Cancellation

You can cancel at any time by uninstalling the app from your Shopify admin, or change plan from the app's Plan page. Shopify stops billing for the app when you uninstall it. Your store's data is deleted as set out in the privacy policy (the app's access is removed at once and everything else 48 hours later). If you added the app's link to your order confirmation email, remove it when you uninstall.

5. Acceptable use

You agree not to:

  • use the app for anything unlawful, fraudulent, or against Shopify's terms or acceptable use policy;
  • try to get around the app's plan limits, security or the signed links it creates;
  • copy, resell, reverse engineer or interfere with the app, or overload it on purpose;
  • use the app to send customers anything misleading.

6. Your responsibilities

  • Your settings. You choose the edit window, which changes are allowed, exclusions, upsell offers and alerts, and you're responsible for those choices, including whether your prices, discounts and shipping rates suit the changes you allow.
  • Your customers. You're responsible for your own communication with your customers, your store policies (including refunds and cancellations), and telling them how you use their data in your own privacy policy.
  • Your store set-up. Placing the Edit order button and the email link, keeping your email link key private, and keeping a contact email that works so you receive alerts.
  • Checking alerts. Some situations need you to act (for example an edit that only partly worked). We alert you, but you're responsible for acting on alerts and checking your orders before you fulfil them.

7. Data processing

For your customers' personal data, you are the controller and we are your processor. This section is our data processing agreement under UK GDPR Article 28. We will:

  • process the data only to provide the app, on your documented instructions (these terms and your app settings), unless the law requires otherwise, in which case we'll tell you unless the law forbids it;
  • keep it confidential; only our sole operator, who is bound by confidentiality, has access;
  • protect it with the measures in our privacy policy, including encryption in transit and at rest and encrypted backups;
  • use only the sub-processors listed in our privacy policy, under written terms giving the same protection, and tell you before adding or replacing one so you can object (by uninstalling if we can't resolve it);
  • help you respond to your customers' requests to exercise their rights, mainly through Shopify's privacy requests, which the app handles automatically;
  • tell you without undue delay, and within 72 hours, after becoming aware of a personal data breach affecting your store, and help you meet your own obligations;
  • delete the data at the end of the service (48 hours after you uninstall), and keep it no longer than set out in our privacy policy;
  • answer your reasonable written security and data protection questions, and provide the information you need to show compliance with Article 28, once a year or after an incident.

The data is your customers' order details, names, email addresses, phone numbers and shipping addresses, processed for as long as the app is installed, for the purpose of letting customers edit their orders and showing you what changed.

8. Availability and support

We work hard to keep the app running and reliable, but we provide it "as is" and don't guarantee it will be available all the time, free of errors, or that it will work with every theme, app or Shopify setting. The app depends on Shopify, our hosting and email providers, which we don't control. We may need to take it offline for maintenance; we'll try to do that at quiet times.

Support is by email at support@briefra.com, with the response times for your plan shown on our support page. Response times are targets, not guarantees.

9. Intellectual property

We own the app, this website and the Briefra name and marks. While you're using the app we give you a non-exclusive, non-transferable right to use it for your store. Your store data stays yours. If you send us feedback, we may use it to improve our apps without owing you anything.

10. Liability

  • Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law.
  • We're not liable for loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss.
  • We're not liable for problems caused by Shopify, payment providers, your settings, other apps, or anything outside our reasonable control.
  • Otherwise, our total liability to you for all claims in connection with the app is limited to the fees you paid us in the 12 months before the claim, or £100, whichever is greater.

11. Suspension and termination

We may suspend or end your use of the app if you seriously or repeatedly break these terms, if Shopify requires it, or to protect the app, other merchants or customers. We'll tell you first where we reasonably can. We may also stop offering an app altogether, with at least 30 days' notice by email. These terms end when you uninstall the app; sections 7, 9, 10 and 14 continue as needed.

12. Changes to the service and these terms

We improve the app over time and record changes in the changelog. We may change these terms; we'll update the date at the top and, for changes that matter to you, email you at least 30 days before they take effect. If you keep using the app after that, you accept the new terms; if you don't, you can uninstall it. Changes to these terms won't remove the price lock in section 3.

13. General

  • These terms and our privacy policy are the whole agreement between us about the app.
  • If any part of these terms can't be enforced, the rest still applies.
  • You may not transfer your rights under these terms without our agreement. We may transfer ours to a business that takes over the app, and will tell you if we do.
  • No one else has rights under these terms (the Contracts (Rights of Third Parties) Act 1999 doesn't apply).
  • If we don't enforce a right straight away, we can still enforce it later.

14. Governing law

These terms, and any dispute about them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
